These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and TheOntarioDuiLawyers.com ("Company," "we," "us," or "our"). By accessing or using www.theontarioduilawyers.com (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, do not use the Site.

Click‑wrap consent: When you create an account, submit a listing, or purchase a Featured Plan you will be required to click an “I agree” checkbox. By doing so you sign these Terms electronically under Ontario’s Electronic Commerce Act, 2000.

1. Eligibility

The Site is intended for Canadian residents 18 years of age or older. By using the Site, you represent that you meet this requirement.

2. Our Services

  1. Basic Listing (Free): Lawyers may create a standard profile at no charge.
  2. Featured Plan – “Top 5 per City”: Guarantees placement within the first five search positions for the selected municipality.
    • Price: Variable, starting at CA $400 per quarter; specific fees are shown at checkout.
    • Billing Cycle: Quarterly, auto‑renewing until cancelled at least five (5) business days before renewal.
    • Payment Methods: Stripe or PayPal. You authorise us to charge your chosen payment method automatically at each renewal.
  3. We reserve the right to modify, discontinue, or add Services at any time with reasonable notice.

3. No Legal Advice & Advertising Compliance

The Site provides a directory and general information only; it does not constitute legal advice or create a solicitor–client relationship. Listings must comply with the Rules of Professional Conduct and Advertising & Fee Arrangement Rules of the Law Society of Ontario (LSO). We do not guarantee case outcomes and any numerical results are illustrative.

4. Account Registration & Security

You agree to:

  • Provide accurate, current information;
  • Maintain confidentiality of login credentials;
  • Notify us immediately at info@theontarioduilawyers.com of unauthorised use.

We may suspend or terminate accounts that violate these Terms.

5. User‑Generated Content (UGC) & Reviews

Users may submit reviews or comments, each subject to moderation. We may edit, refuse, or remove UGC at our sole discretion.

5.1 Prohibited Content & Activities

You must not:

  1. Post unlawful, defamatory, obscene, hateful, or discriminatory content;
  2. Submit spam, chain letters, or bulk solicitations;
  3. Impersonate any person or entity or falsely state affiliation;
  4. Upload viruses or malicious code;
  5. Scrape, data‑mine, or use automated means without permission;
  6. Interfere with Site security or functionality;
  7. Violate any applicable laws or LSO advertising rules.

6. Intellectual Property

All Site content—including text, graphics, logos, database of lawyers, and software—is owned by or licensed to the Company and protected by Canadian and international intellectual‑property laws. We grant you a limited, revocable, non‑exclusive licence to access and use the Site for its intended purpose. All rights reserved.

7. Fees, Payments & Taxes

  • All fees are in Canadian dollars and exclude applicable taxes (HST/GST).
  • Payments are processed securely by Stripe or PayPal; we do not store full card details.
  • No refunds are provided for terminated or paused Featured Plans, except where required by law.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR‑FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS OWNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE.

10. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, liabilities, and expenses arising from your (a) use of the Site, (b) violation of these Terms, or (c) UGC.

11. Suspension & Termination

We may suspend or terminate your account and access to the Site without prior notice if we believe you have violated these Terms or any law. No refunds shall be issued for any remaining period in a Featured Plan.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑law principles.

12.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Site ("Dispute") shall be resolved by binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules:

  1. Seat & Venue: Toronto, Ontario.
  2. Language: English.
  3. Confidentiality: The arbitration and any award are confidential except as necessary to enforce the award.
  4. Interim Relief: Either party may seek interim or injunctive relief in the courts of Ontario.

If arbitration is found unenforceable, the courts of Toronto, Ontario shall have exclusive jurisdiction. You waive any objection to venue.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be posted on the Site or sent by e‑mail. Continued use after such changes constitutes acceptance.
